Submission terms

If you want to upload any video to VBear Media (legally registered as ViralBear LLC), hereinafter referred to as “VBear”, you must agree to the terms in this agreement. This agreement is between you, the copyright holder of the video¹, and us, the user of the exclusive rights to the video².

1. Guarantees

You guarantee that the video is your own original work and that at the time of the conclusion of this agreement you have the exclusive rights to it, or despite the fact that you are not the creator of the video, you have legally acquired all the necessary rights to it and can conclude this agreement.

You guarantee that at the time of the conclusion of this agreement, you are not bound by any obligations with third parties that can in one way or another interfere with the full or partial implementation of all the terms of this agreement.

You guarantee that at the time of the conclusion of this agreement, your rights to the video are not contested in court or in any other legal way.

You guarantee that the video is provided legally, without violating the rights of third parties, including denigrating honor, dignity and business reputation, and does not violate the current legislation of Georgia.

You guarantee that in the event that any of the above guarantees are violated, you will take steps to ensure that we can freely use the rights granted under this agreement.

You confirm that you are at least 18 years old (or have reached the age of majority in your country of residence, if it is higher) and have full legal capacity to conclude this agreement.

2. The rights you grant us

By uploading any video to VBear, you grant us the right to use it in the following ways: reproduction (in whole or in part) in any form, by any means; distribution of copies in any way: sale, rental, etc. (distribution right); public display, that is, any demonstration of the original or a copy directly or on the screen using film, transparency, television footage or other technical means (public display); public performance of a work, that is, presentation of a work with the help of technical means (television and other technical means) (public performance); broadcasting, that is, communicating a work to the public by radio or television, with the exception of communication by cable (broadcasting); communication by cable, that is, communication of a work to the public by radio or television by means of a cable, wire, optical fiber or similar means (communication by cable); translation or other processing of the work; communication to the general public in such a way that any person can access the video from any place and at any time of their own choice (communication to the public), including on the Internet;

You agree that by uploading any video to VBear, you have the right to use it in your social networks, however, you have no right to grant the right to use it to third parties (exclusive license), while you give us consent to sublicense it without first obtaining written approval for each such fact.

The use of video is carried out on a reimbursable basis by paying a 50 percent of all earnings from this video.

Revenue share payments are made within a month after we receive funds from third parties, provided that your current balance exceeds $75. Payment obligations are considered fulfilled from the moment the funds are debited from our current account.

The use of the video is allowed throughout the world and in perpetuity, for the entire term of copyright protection of the video.

3. Responsibility

If your video violates the rights of third parties and / or the current legislation of Georgia, then you undertake to reimburse the losses that we may have in connection with such a violation (this, among other things, concerns the filing of claims by third parties, state organs, etc.). In case of late payment of the remuneration due to you for the use of the video, you may demand payment of a forfeit in the amount of 10% of the remuneration amount.

4. Termination of the agreement

The Parties have the right to terminate the Agreement ahead of schedule by mutual written agreement.

We have the right to terminate this agreement unilaterally if it turns out that your video violates the rights of third parties and / or the current legislation of Georgia.

In addition, we have the right to terminate this agreement unilaterally if it turns out that at the time of the conclusion of this agreement you did not have the exclusive right to the video.

You have the right to terminate this agreement unilaterally if the video is used in a way not provided for in this agreement.

Sublicenses granted by us before any termination of this agreement remain in effect.

5. Electronic signature

This agreement is concluded in electronic form. You agree that your electronic signature on the submission form, together with your acceptance of these terms and the recorded date, time and IP address of the submission, has the same legal force as a handwritten signature, and that this agreement is binding on you without being signed on paper. A copy of the signed agreement is sent to your e-mail address.

6. Dispute Resolution

This agreement is governed by and construed in accordance with the laws of Georgia. We mutually agree that the courts of Georgia have exclusive jurisdiction to settle any dispute that may arise in connection with this agreement.

7. AI/ML purposes

You consent that VBear may use the video and its associated data (including frames, audio and descriptions) for dataset creation and machine learning / artificial intelligence model training, including transfer of such materials to third-party partners, possibly in other countries. You confirm that you have all necessary rights and consents for such use and that any personal data contained in the video may be processed for these purposes.

8. Confidentiality

We may need to contact you to clarify administrative or other issues related to your video. Meanwhile, we will not use your email address or other personal information to send commercial or marketing communications without your consent.
